HOUSTON, TEXAS, April 21, 2025 – The Shaw Group, one of the world’s largest Engineering, Procurement, and Fabrication (EPF) companies, today announced it has signed a definitive agreement to acquire a majority stake in Prodigent Solutions Private Limited a service provider based in Pune, Maharashtra, India.
This strategic investment includes the formation of a joint venture between the two companies and will establish a legal entity for The Shaw Group in India, strengthening its global footprint, high-value engineering (HVE), and business function capabilities. It also provides a foundation to employ, further develop and deploy talent globally to deliver impactful solutions across our global client base.
The Shaw Group, headquartered in Houston, Texas, and led by CEO Dan Simpson, has collaborated closely with Prodigent over the past six months to develop the joint venture business plan. Prodigent, led by Chairman and Managing Director Yayati Garde, is a multidisciplinary service provider offering engineering, manufacturing, finance, HR, software, and IT solutions for the energy industry. Yayati Garde is a high-value global service industry veteran, having previously worked with Dan Simpson in developing several high-value execution centers, from startup to over a thousand-employee operations on behalf of multiple Global 2000 organizations.
“Our investment in Prodigent reinforces our commitment to delivering world-class solutions across various industries to our esteemed clients,” said Dan Simpson, CEO of The Shaw Group. “By combining Shaw’s global reach and project expertise with Prodigent’s technical talent and agility, we are building a scalable, high-value engineering and service solution platform that will directly support our global operations and drive growth across international markets.”
“As we join hands with The Shaw Group in increasing our offerings to the industry, we remain steadfast in our commitments to serving existing clients to the same level of expectations. We believe that with the addition of newer capabilities and skill sets, we will add more value to our clients,” said Yayati Garde, CMD Prodigent.
In preparation for the formal agreement, the companies have already initiated collaboration through the onboarding of key personnel and the identification of a new facility in Pune. This joint venture will serve as Shaw’s HVE hub, providing direct engineering, design, and back-office support to projects executed from the United States and the Middle East, as well as business support functions.
Yayati Garde will continue to lead Prodigent and join The Shaw Group’s global leadership team.
